1. Who these terms apply to
By signing in to the portal or submitting a referral through its public intake form, you (the "user") agree to these Terms. The portal is made available by the clinic that has licensed the underlying software (the "clinic").
2. Authorized use
The portal is intended for authorized clinical workforce members, referring providers, and patients who have been invited or referred to the clinic. You agree to use it only for purposes connected to clinical care or referral processing. Any attempt to access records you are not authorized to view is prohibited and will be audited.
3. Account security
You are responsible for keeping your credentials confidential. Where the clinic has enabled multi-factor authentication you agree to enroll and maintain a working second factor. Promptly report a lost or compromised credential to the clinic's Security Officer.
4. Acceptable use
You agree not to:
- Attempt to bypass or disable security controls.
- Share your account or session with another person.
- Upload malware or content not relevant to a clinical referral.
- Scrape, crawl, or otherwise harvest portal data.
- Use the portal to harass, threaten, or impersonate any person.
5. Protected health information (PHI)
The portal handles PHI as defined by HIPAA. The clinic operates as the Covered Entity and is responsible for the ultimate disposition of records you submit. The portal software operator processes PHI strictly under written instruction from the clinic and only as needed to keep the system running, troubleshoot, and back it up.
6. Availability + maintenance
The portal aims for high availability but is not guaranteed to be online at any specific moment. Planned maintenance windows are communicated in advance where possible. Unplanned outages are restored as quickly as practicable; recovery objectives are documented in the clinic's contingency plan.
7. No warranty
The portal is provided "as is". To the maximum extent permitted by law, no warranty is made regarding accuracy, timeliness, or fitness for any particular clinical purpose. Clinical judgment remains the responsibility of the licensed provider; the portal is a record-keeping and communication tool, not a substitute for that judgment.
8. Limitation of liability
To the extent permitted by law, neither the clinic nor the portal operator is liable for any indirect, incidental, or consequential damages arising from use of the portal. Direct damages are limited to fees paid (if any) for the use of the portal in the 12 months preceding the claim.
9. Termination
The clinic may suspend or terminate access for any user who violates these Terms, for the protection of PHI, or upon separation of the user from the clinic.
10. Changes
These Terms may be updated. Material changes will be announced via the portal or via email. Continued use of the portal after an update constitutes acceptance.
11. Governing law + venue
These Terms are governed by the laws of the state in which the clinic operates, without regard to its conflict-of-laws provisions. Any dispute will be brought in the courts of that state.
